1. Introduction

Welcome to Hivebrain ("we", "our", "us"). These Terms and Conditions govern your use of our knowledge base platform and services available at https://hivebrain.co.uk (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

2. Definitions

• "Account" means the account you create to access and use the Service.
• "Tenant" means an organisation or individual who has subscribed to use the Service.
• "User" means any individual authorised by a Tenant to access the Service.
• "Content" means any data, text, files, images, or other materials uploaded to or created within the Service.
• "Subscription" means your paid plan that determines access to features and usage limits.

3. Account Registration

To use the Service, you must:

• Provide accurate, complete, and current registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to bind your organisation to these Terms.

4. Subscriptions and Payments

4.1 Free Trial

New subscriptions include a 3-day free trial period. During the trial, you have full access to your selected plan's features. No payment is taken until the trial period ends.

4.2 Billing

Subscriptions are billed monthly via Direct Debit through our payment processor, GoCardless. By subscribing, you authorise us to collect payments from your bank account according to your selected plan.

4.3 Plan Limits

Each subscription plan has specific limits on users and storage. If you exceed these limits, you may need to upgrade to a higher plan or remove Content to stay within your allocation.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing period after the notice period.

5. Cancellation and Refunds

You may cancel your subscription at any time from your billing dashboard. Upon cancellation:

• Your subscription remains active until the end of your current billing period
• No further payments will be collected
• Your data will be retained for 90 days unless you request immediate deletion
• You may reactivate your account within the retention period

6. Your Content

6.1 Ownership

You retain all ownership rights to Content you upload to the Service. We do not claim any ownership over your Content.

6.2 Licence Grant

By uploading Content, you grant us a limited licence to store, process, and display your Content solely for the purpose of providing the Service to you.

6.3 Content Responsibility

You are solely responsible for your Content and must ensure it complies with our Acceptable Use Policy. We reserve the right to remove Content that violates these Terms.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including the UK GDPR and Data Protection Act 2018.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance or updates that temporarily affect availability. We will endeavour to provide advance notice of planned maintenance where possible.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or business opportunities

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
